Boca Research sells last modem arm

BOCA RATON -- Boca Research sold the last piece of its original personal computer modem business Tuesday to Massachusetts-based Zoom Telephonics.

Zoom gets Boca's Global Village and Boca Research modem trademarks and Web domain names for $500,000. The price is contingent on sales from the product lines reaching more than $12 million over the next 12 months. If sales are lower, the deal becomes a cash-free asset transfer.

Zoom also will lease Boca Research's technical support operation in Boca Raton.

After the transfer of 15 technical support employees to Zoom, Boca Research will have 80 employees. Boca Research (Nasdaq: BOCI) closed Tuesday at $3.81, down 32 cents a share.

Boca Research announced plans in February to become an engineering design company, specializing in television set-top boxes for connecting to the Internet. It already has sold its manufacturing operation to Boundless Corp. of New York for $1.7 million.

Boca is planning a name change to Inprimis Technologies, which requires shareholder approval. A meeting is set for Sept. 29.
